01 Corporate Scope & Commercial Identity

PETRA TRADING & CONTRACTING LTD is a registered international procurement and project material supply company incorporated under the laws of England and Wales (Company No. 16660036), with registered office at 61 Bridge Street, Kington, Herefordshire, HR5 3DJ, United Kingdom.

Unless expressly agreed otherwise in a signed Master Services Agreement (MSA), all commercial quotations, purchase orders (PO), and project consignments are governed by these Terms & Conditions.

02 Quotations, Pricing & Validity

All commercial quotations issued by PETRA are firm commercial offers subject to the following standard parameters:

  • Standard Validity: Commercial quotes remain valid for thirty (30) calendar days from date of transmittal unless specified otherwise in writing.
  • Raw Material Fluctuations: Quotations for carbon steel, stainless steel, specialty alloys, copper, and polymer resin commodities are linked to international mill base prices (LME / Platts indices) and subject to adjustment prior to final purchase order binding.
  • Taxes & Customs Duties: Unless stated as DDP (Delivered Duty Paid), all prices are exclusive of import duties, VAT, municipal fees, customs clearance, and demurrage at destination ports.

03 Incoterms® 2020 & International Logistics

Deliveries are executed under standard International Chamber of Commerce (ICC) Incoterms® 2020 rules as agreed in the formal Commercial Proforma Invoice:

  • EXW / FOB: Title and risk of loss pass to the buyer upon release at the mill gate or loading aboard the designated ocean vessel.
  • CIF / CFR: PETRA arranges ocean transport and transit marine cargo insurance to the named port of entry (e.g., Hamad Port, Dammam, Jebel Ali, Mombasa, Durban). Unloading, customs clearance, and inland transit remain buyer responsibility.
  • DDP: PETRA manages end-to-end customs clearance, local port duties, and final flatbed transport directly to the contractor laydown yard.

04 Material Specifications & Quality Certification

PETRA supplies engineered industrial materials sourced strictly from accredited manufacturing mills conforming to designated standards (BS EN, ASTM, ASME, API, DIN, ISO):

  • Mill Test Certificates (MTC): Metallic components, pressure pipe, and valves are delivered with authentic EN 10204 Type 3.1 or 3.2 inspection documents with full melt and heat traceability.
  • Third-Party Inspection (TPI): Pre-shipment inspection (SGS, TUV, Bureau Veritas, DNV) can be coordinated upon request prior to containerization or dispatch.
  • Counterfeiting Prevention: PETRA enforces a strict zero-tolerance anti-counterfeit policy. All materials are verified against original manufacturer batches.

05 Inspection, Acceptance & Claims

Upon receipt of materials at the designated destination laydown yard or port, the buyer must inspect consignments within fourteen (14) calendar days. Any claims regarding material discrepancies, transit damage, or specification mismatch must be submitted in writing with photographic evidence and MTC references to info@petratrading.co.uk within this window.

06 Limitation of Liability & Force Majeure

PETRA's aggregate liability under any procurement purchase order shall not exceed the total commercial contract value paid for the specific goods giving rise to the claim. PETRA shall not be liable for indirect, consequential, liquidated, or delay damages unless explicitly agreed in writing under a bespoke project supply deed.

Neither party shall be liable for delivery failures arising from Force Majeure events, including international trade sanctions, embargoes, port strikes, acts of war, canal closures, or natural disasters.

07 Governing Law & Jurisdiction

These Terms & Conditions and any commercial agreements between PETRA and the client shall be governed by and construed in accordance with the substantive laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the Courts of England and Wales, or referred to international arbitration under LCIA rules upon mutual agreement.
